Terms of Service

1. Acceptance of Terms

By accessing or using the CL3VR website (cl3vr.ai) and platform (app.cl3vr.ai) (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

CL3VR provides AI-powered agents designed for Sales Operations and Sales Compensation workflows. The Service allows users to interact with AI agents in natural language, upload files for processing, and receive AI-generated analysis, models, and insights.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 18 years of age to use the Service.

4. Data Ownership

Your Content: You retain all rights, title, and interest in the data, files, documents, and other content you submit to the Service ("Input"). CL3VR does not claim any ownership rights over your Input.

AI-Generated Output: Subject to your compliance with these Terms, you own the output generated by our AI agents based on your Input ("Output"). Due to the nature of AI, outputs may not be unique, and other users providing similar inputs may receive similar results.

License to CL3VR: You grant CL3VR a limited, non-exclusive license to process your Input solely for the purpose of providing the Service to you.

5. No Model Training on Your Data

We do not use your Input or Output to train, improve, or develop our AI models or any third-party models.

Your data is processed solely to provide the Service to you. We may use aggregated, de-identified usage data (such as feature usage patterns) to improve service reliability and performance, but never your actual content.

6. AI Output Disclaimer

AI-generated outputs may be inaccurate, incomplete, or not suitable for your intended purpose. You are solely responsible for evaluating, verifying, and assuming all risks associated with the use of any Output.

The Service does not provide professional, legal, financial, or tax advice. AI-generated compensation models, territory analyses, quota recommendations, and other outputs are tools to support your decision-making — not substitutes for professional judgment. You should not rely on Outputs without independent human review.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload content that is unlawful, harmful, or infringes on intellectual property
• Attempt to reverse-engineer, decompile, or extract the underlying models or algorithms
• Circumvent security measures, access controls, or usage limits
• Use the Service to generate spam, misleading content, or fraudulent materials
• Interfere with or disrupt the integrity or performance of the Service
• Access the Service through automated means (bots, scrapers) without authorization

8. Payment and Billing

Paid plans are billed in advance on a monthly basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

9. Intellectual Property

The Service, including its design, software, text, graphics, logos, and AI models, is owned by CL3VR and protected by intellectual property laws. These Terms do not grant you any rights to use CL3VR's trademarks, logos, or branding without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, CL3VR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service or reliance on AI-generated outputs.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to CL3VR in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CL3VR, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Service.

13. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will delete your User Content within 30 days of account termination, unless retention is required by law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in King County, Washington.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
